This Privacy Notice describes how Intellia Therapeutics, Inc. (“Intellia,” “we,” “us,” or “our”) collects, uses, discloses, and otherwise processes Personal Information relating to healthcare professionals (“HCPs”). HCPs may include physicians, pharmacists, investigators, researchers, clinical investigators, and other healthcare professionals with whom we interact in connection with our research, development, clinical, scientific, medical affairs, pharmacovigilance, educational, commercial, and other business activities.

For purposes of this Privacy Notice, “Personal Information” means any information that identifies, relates to, describes, or could reasonably be linked, directly or indirectly, to an identified or identifiable natural person.

This Privacy Notice describes the categories of Personal Information we collect, the sources from which we collect it, the purposes for which we use it, how we disclose and otherwise process it, and the rights available to you under applicable data protection and privacy laws. For purposes of applicable data protection laws, including the General Data Protection Regulation (“GDPR”) and the UK GDPR, Intellia Therapeutics, Inc. is the controller of the Personal Information processed pursuant to this Privacy Notice.

This Privacy Notice generally applies to our interactions with HCPs in connection with clinical research, investigator-sponsored research, medical affairs activities, scientific exchange, advisory boards, speaker programs, educational and training activities, grants, sponsorships, consulting arrangements, pharmacovigilance activities, product safety monitoring, and other professional or business interactions.

If we have a separate agreement or relationship with you concerning a particular activity or interaction, that agreement, notice, consent form, or other document may supplement or, where applicable, supersede this Privacy Notice with respect to that activity or interaction.

Types of personal information we collect

We may collect and process the following categories of Personal Information relating to HCPs:

• Contact Information, such as full name, business address, email address, telephone number, professional social media contact information, and other business contact details.
• Professional Information, such as professional title, specialty, qualifications, clinical and research interests, institutional affiliations, publications, areas of expertise, licensure information, National Provider Identifier (NPI) number, and professional memberships.
• Engagement Information, such as records of interactions with Intellia, participation in meetings, advisory boards, speaker programs, educational activities, surveys, research initiatives, grants, sponsorships, clinical trials, and other scientific or business activities.
• Communications Information, such as correspondence, inquiries, meeting notes, webinar participation, presentation attendance, and other communications with Intellia.
• Payment and Financial Information, where applicable, including payment information, expense reimbursement information, consulting fees, honoraria, grants, transfers of value, and other information necessary to comply with applicable transparency and reporting requirements.
• Technical and Online Activity Information, such as information collected through our websites, platforms, applications, and digital communications, including device information, IP address, cookie information, and usage information.
• Other Information You Choose to Provide, in connection with your interactions with Intellia.

Sources of personal information

We may collect Personal Information from:

• directly from HCPs;
• healthcare institutions, universities, hospitals, clinics, and research organizations;
• contract research organizations (“CROs”), study sites, investigators, and clinical trialA test of a new medical treatment or procedure in human volunteers with the purpose of evaluating a medical, surgical or behavioral intervention. • patients, caregivers, and individuals reporting product complaints, quality issues, or adverse events; and
• affiliates within the Intellia corporate group.

Why we collect and process your personal information

We may collect and process your Personal Information to:

• Manage and maintain our professional relationship with HCPs.
• Communicate regarding Intellia’s research, development programs, scientific activities, medical affairs activities, educational initiatives, products, services, and other business activities.
• Facilitate participation in clinical trials, research collaborations, advisory boards, speaker programs, educational activities, investigator meetings, scientific exchange activities, grants, sponsorships, and other professional engagements.
• Respond to medical information requests, scientific inquiries, product quality complaints, and safety-related communications.
• Identify, investigate, document, monitor, and report adverse events and other safety information.
• Administer grants, sponsorships, consulting arrangements, compensation, expense reimbursements, transfers of value, and other financial interactions.
• Comply with legal, regulatory, transparency, disclosure, reporting, pharmacovigilance, and healthcare compliance obligations.
• Conduct research, analytics, business planning, operational improvement, and quality management activities.
• Maintain the security, integrity, and functionality of our systems, services, and information assets.
• Protect our rights and interests, enforce agreements, and establish, exercise, or defend legal claims.
• Provide information regarding Intellia’s products, services, programs, scientific activities, educational opportunities, and other communications that may be relevant to your professional interests, where permitted by applicable law.

Marketing communications

Where permitted by applicable law, we may send you information regarding Intellia’s products, services, scientific activities, educational programs, research initiatives, and other business activities that may be relevant to your professional interests. You may opt out of receiving marketing or promotional communications from Intellia at any time by following the unsubscribe instructions included in the communication or by contacting us using the information provided in this Privacy Notice.

Please note that even if you opt out of receiving marketing communications, we may continue to send you non-promotional communications where necessary, including communications relating to product safety information, adverse event reporting, regulatory updates, contractual relationships, transactions, technical notices, policy updates, changes to our websites, platforms, or applications, or other communications required for legal, regulatory, operational, or administrative purposes.

Who we share your personal information with

We may disclose Personal Information relating to HCPs to the following categories of recipients, where necessary to carry out the purposes described in this Privacy Notice:

• contract research organizations (“CROs”), study sites, investigators, clinical trial personnel, and other research partners;
• vendors, suppliers, consultants, and other service providers that support our business operations, including information technology, communications, payment processing, event management, analytics, data hosting, document management, and professional services providers;
• professional advisors, including auditors, accountants, attorneys, consultants, and other advisors;
• healthcare institutions, universities, hospitals, clinics, and research organizations;
• partners with whom we develop, license, commercialize, distribute, or otherwise support products, services, programs, or research activities;
• regulatory authorities, health authorities, ethics committees, institutional review boards, law enforcement agencies, courts, governmental authorities, or other third parties where required by applicable law, regulation, legal process, or industry code;
• organizations involved in pharmacovigilance, product safety monitoring, adverse event reporting, product quality investigations, and related healthcare compliance activities;

• other third parties where you have provided your consent or where disclosure is otherwise permitted or required by applicable law.

We may also disclose Personal Information in connection with actual or proposed mergers, acquisitions, investments, financings, reorganizations, joint ventures, asset sales, divestitures, corporate transactions, or similar business activities, including for due diligence purposes. Personal Information may also be disclosed to a successor, purchaser, investor, lender, or other relevant third party in connection with such transactions or in the event of insolvency, bankruptcy, or receivership, subject to applicable legal requirements.

How we store and retain your personal information

Personal Information may be stored and processed by Intellia and our service providers in the United States and other jurisdictions where we or our service providers operate. We implement administrative, technical, and organizational measures designed to protect Personal Information against accidental, unlawful, or unauthorized access, use, disclosure, alteration, loss, or destruction. However, no method of transmission, storage, or security can be guaranteed to be completely secure.

Intellia retains Personal Information only for as long as necessary to fulfill the purposes described in this Privacy Notice, including to support our research, medical affairs, clinical, scientific, educational, commercial, pharmacovigilance, regulatory, and business activities, unless a longer retention period is required or permitted by applicable law, regulation, contractual obligation, litigation hold, or other legal requirement.

In determining the appropriate retention period, Intellia considers the nature, sensitivity, and volume of the Personal Information, the purposes for which it is processed, the duration of our relationship with the HCP, applicable legal and regulatory requirements, industry standards, and our legitimate business needs.

When Personal Information is no longer required, Intellia will securely delete, destroy, anonymize, or de-identify the information in accordance with applicable law and our record retention practices.

European-specific privacy rights

This section applies to HCPs located in the European Economic Area (“EEA”), Switzerland, and the United Kingdom (“UK”).

Intellia processes HCP Personal Information for the purposes described in this Privacy Notice. Depending on the nature of our relationship with you and the processing activity involved, the lawful bases on which Intellia processes Personal Information may include:

• performance of a contract;
• compliance with legal obligations;
• legitimate interests in conducting clinical research, medical affairs, scientific exchange, pharmacovigilance, healthcare compliance, educational, commercial, and other business activities; and
• consent, where required by applicable law.

U.S. state-specific privacy rights
